    Hello,

I am seeking a private equity attorney that has represented fund sponsors and investors in venture capital and/or private equity funds. The ideal candidate will be familiar with negotiating documents in connection with the formation of private equity funds and their respective management entities and have substantive knowledge of and experience working with the laws and regulations applicable to such entities. Familiarity with requirements applicable to exempt reporting advisers a plus.

In exchange for his/her services, the candidate will receive five percente (5%) of management and incentive fees and the title of General Counsel. Based on projected management fees over the 3-5 year holding and disposition period, this would result in attorney fees totaling more than $300,000 (includes expenses). If you contrast this with any up-front “flat fees” that you or your firm would earn, this appears to be a more attractive offer. If these terms are acceptable to you please contact me to discuss this opportunity.

    Best regards,
    DW Norris
